Terms of Service

1. Acceptance and Scope

These Terms of Service ("Terms") govern your access to and use of Mutle and related services operated by BuzzChat Inc. ("BuzzChat", "Mutle", "we", "us", or "our"), including our website, waitlist, member application, trust graph, introductions, messaging, posts, analytics, search, notifications, support surfaces, AI-assisted help features, premium plans, TTN features, and any developer or OAuth features we make available.

By visiting Mutle, joining the waitlist, creating an account, importing contacts, submitting content, requesting or facilitating introductions, paying for a subscription, applying for a developer application, or otherwise using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Mutle.

If you use Mutle on behalf of an organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and that organization.

2. What Mutle Is

Mutle is a professional networking and introduction platform built around a trust graph. Depending on your permissions and plan, the service may let you create a profile, import contacts, create or manage connections, request or facilitate introductions, send direct messages, create posts or articles, search for people, save search watches, receive notifications, verify identity attributes, manage privacy controls, join TTN, request payouts, and create developer applications for OAuth or API access.

Mutle is not an employment agency, broker, financial advisor, payments bank, fiduciary, agent, recruiter of record, background check provider, or guarantor of any introduction, conversation, business outcome, payment, or relationship.

Some features are experimental, in beta, regional, invite-only, plan-limited, or subject to additional eligibility, safety, identity, or anti-abuse checks. We may add, remove, suspend, or modify features at any time.

3. Eligibility

You may use Mutle only if all of the following are true:

  • You are at least 16 years old.
  • You have the legal capacity to enter into a binding contract.
  • You are not prohibited from using the service under applicable law, sanctions, or export controls.
  • You will provide accurate, current, and complete information and keep it updated.

If you are under the age of majority where you live, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Paid plans, payouts, and certain developer or financial features may require you to be 18 or older or otherwise legally able to receive payments.

4. Accounts, Identity, and Verification

You are responsible for all activity occurring under your account. You agree to safeguard your password, device, linked sign-in methods, and any API credentials we issue to you.

  • You may not share, sell, rent, or transfer your account.
  • You may not create accounts under false pretenses or for another person without authorization.
  • You may not maintain duplicate personal accounts in a way that evades limits, enforcement, or review.
  • You must promptly notify us of suspected unauthorized access at support@mutle.so.

Mutle may offer work email verification, phone verification, LinkedIn verification, social sign-in, or other identity signals. Verification means only that a specific attribute, credential, or account linkage was checked according to our procedures at a point in time. It is not a representation that the user is trustworthy, currently employed by any organization, or suitable for any particular opportunity.

5. Profiles, Content, and Community Surfaces

Mutle may allow you to publish or transmit profile information, open-to preferences, portfolio items, recommendation requests, posts, articles, comments, messages, intro context, invitations, and other content ("User Content"). You retain ownership of User Content that you create, subject to the license below.

You grant BuzzChat a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, display, distribute, transmit, adapt for technical purposes, moderate, and otherwise process User Content as necessary to operate, secure, improve, and promote the service, including to generate previews, notifications, search indexes, fraud signals, path quality calculations, and safety or support records.

This license ends when your content is deleted from active systems, except to the extent we need to retain copies for backups, logs, legal obligations, safety investigations, dispute resolution, anonymized product analytics, or preserving the integrity of graph events for other users.

You represent that you have all rights necessary to submit User Content and that your content does not violate law, privacy rights, confidentiality obligations, intellectual property rights, or these Terms.

6. Contacts, Imports, Matching, and Ghost Profiles

Mutle allows users to import or upload contact information from Google Contacts, LinkedIn export files, CSV files, manual entry, and related matching tools. By using those features, you instruct us to store, normalize, deduplicate, hash, compare, enrich, and match contact information for the purposes of finding relationships, suggesting connections, enabling invites, preventing duplicates, and improving search and graph quality.

  • You represent that you have a lawful basis to provide us with contact data and invite-related data.
  • You may not import, upload, or process contacts in violation of confidentiality, privacy, or contract obligations.
  • You may not use Mutle as a bulk marketing, scraping, or address-book exploitation tool.
  • You remain responsible for any personal note, invitation message, or targeting decision you make.

Mutle may also create or maintain internal "ghost" or unclaimed profiles using imported contact signals, public professional data, LinkedIn URLs, or enrichment providers to improve matching, demand tracking, and claim flows. You may claim only a profile that truthfully belongs to you or that you are otherwise authorized to control. False claims are a material violation of these Terms.

7. Introductions, Trust Graph, and Messaging

Introductions are central to Mutle. By requesting, forwarding, accepting, declining, or completing an introduction, you agree to use the system honestly and with appropriate regard for the people involved.

  • Intro requests must describe your purpose accurately and may not be deceptive or materially incomplete.
  • Mutuals are never required to forward an introduction and may decline or ignore requests.
  • Targets are never required to respond, meet, transact, or continue a conversation.
  • Trust scores and path quality signals are internal ranking aids, not guarantees or public endorsements.
  • Completed or forwarded intros may still require target consent or other intermediate steps.
  • Messages, introductions, and graph placement do not make us a party to any off-platform relationship or deal.

You are solely responsible for what you say, promise, or agree to during or after an introduction. Mutle is not responsible for misrepresentation, non-performance, fraud, disputes, investment outcomes, employment outcomes, or any other off-platform consequences.

8. Search, Recommendations, Watches, and Analytics Features

Mutle may let you search for users, save search watches, review suggestions, inspect graph paths, and use recommendation or discovery features. Those features may depend on your profile completeness, network quality, imported contacts, historic usage, inferred intent, privacy settings, safety restrictions, and plan status.

Search results, recommendations, rankings, and notifications may be incomplete, delayed, inaccurate, or unavailable. We do not guarantee that any particular person will be findable, reachable, or watchable.

9. AI and Automated Features

Mutle may offer AI-assisted or automated features, including support assistants, moderation tools, ranking systems, anti-abuse systems, graph or path scoring, search or suggestion logic, messaging or notification automation, and internal agent workflows.

AI outputs and automated results may be incomplete, incorrect, biased, or unsuitable for your situation. They are provided for convenience only and do not constitute legal, financial, employment, compliance, or other professional advice. You are responsible for reviewing any output before relying on it.

We may use automated systems to detect spam, duplicate accounts, suspicious invites, abusive content, unusual activity, payout risk, or other misuse. These systems may throttle, flag, restrict, suspend, or escalate accounts for human review.

10. Developer APIs, OAuth Apps, and Third-Party Access

Mutle may allow certain users to create OAuth applications, access developer endpoints, or integrate third-party services. If you create or operate an application using our developer features, you agree to:

  • Use developer credentials only for authorized purposes and keep secrets confidential.
  • Collect and use Mutle user data only as permitted by the scope granted and by applicable law.
  • Provide accurate redirect URIs, descriptions, and app identity information.
  • Not mislead users about who operates your application or why data is requested.
  • Not exceed rate limits, circumvent technical restrictions, or build competing datasets from our service.

We may suspend or revoke developer access, rotate credentials, or require additional terms or security reviews at any time.

11. Paid Plans, Paystack Billing, TTN, and Payouts

Mutle may offer paid plans, premium limits, TTN participation, connector earnings, and payout features. Billing is processed through third-party providers such as Paystack or other processors we choose.

  • You authorize recurring or one-time charges associated with the plan or feature you select.
  • Subscriptions renew automatically unless canceled before renewal.
  • Prices, limits, included features, and eligibility may change with notice where required by law.
  • Displayed prices may be processed, converted, settled, or charged in local or processor-supported currency.
  • Processor fees, exchange rates, settlement timing, and banking rails are outside our control.
  • Payments are non-refundable except as required by law or expressly stated by us.

TTN, connector credits, and payout eligibility are incentive features, not wages, salaries, securities, investment contracts, or employment benefits. We may require account standing, profile completion, imported contacts, identity checks, payout method validation, anti-fraud review, tax or compliance information, or other conditions before paying out.

We may delay, refuse, reverse, withhold, offset, claw back, or permanently block payouts if we suspect fraud, abuse, sanctions issues, duplicate accounts, invalid intros, manipulated graph activity, payment reversals, processor disputes, legal risk, or breaches of these Terms. You are solely responsible for any taxes, reporting, or legal obligations associated with payments you receive.

12. Referrals, Invites, and Waitlist Features

Mutle may offer referral codes, invite tokens, waitlist benefits, or queue advancement. These features are discretionary and may be modified, revoked, limited, or discontinued at any time.

  • You may share invites only with people you know or have a legitimate reason to contact.
  • You may not spam, buy traffic, run deceptive campaigns, or use paid lead-generation tactics for invites.
  • We may void referrals, queue credits, or invites obtained through abuse, fraud, or policy violations.

13. Prohibited Conduct

You may not, directly or indirectly:

  • Send spam, mass outreach, scams, or deceptive solicitations through the platform.
  • Impersonate another person, organization, or affiliation.
  • Misstate employment, credentials, identity, relationship strength, or reason for contact.
  • Create false graph edges, trust signals, recommendations, or engagement.
  • Harvest, scrape, export, or build datasets from Mutle without written permission.
  • Upload unlawful, infringing, defamatory, invasive, hateful, or abusive content.
  • Collect personal data from other users without a lawful basis.
  • Bypass limits, blocks, suspensions, paywalls, or security controls.
  • Probe, benchmark, reverse-engineer, decompile, or attack the service or our models.
  • Use bots, scripts, or automation to imitate normal user behavior or gain unfair advantage.
  • Exploit AI features to generate spam, impersonation, phishing, or harmful content.
  • Use Mutle to facilitate fraud, money laundering, sanctions evasion, or any illegal activity.

14. Feedback, Intellectual Property, and Complaints

All Mutle software, branding, interfaces, data models, documentation, content arrangement, and service architecture are owned by BuzzChat or our licensors. Except for the limited rights expressly granted by these Terms, you receive no ownership or other rights in the service.

If you provide suggestions, bug reports, product ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.

If you believe content on Mutle infringes your rights or is unlawful, contact legal@mutle.so with sufficient detail for us to investigate.

15. Suspension, Restrictions, and Appeals

We may investigate and take action if we believe you have violated these Terms, created legal or operational risk, harmed users, harmed graph integrity, or exposed Mutle or others to abuse.

Actions we may take include warnings, content removal, visibility reduction, rate limits, intro restrictions, invite restrictions, search restrictions, developer credential revocation, TTN or payout ineligibility, account suspension, or permanent termination.

Some actions may be triggered by automated systems and some by human review. Where available, you may use our appeal process or contact support@mutle.so. We are not obligated to disclose abuse-detection logic, security rules, or internal evidence where doing so would compromise safety, investigations, or the service.

16. Account Deletion and Survival

You may request account deletion through Settings or by contacting us. Deletion typically triggers a grace period during which your account is hidden but may remain recoverable. After that period, we may delete or anonymize data as described in our Data Deletion Policy and Privacy Policy.

Certain provisions survive termination, including those related to payments, TTN clawbacks, intellectual property, feedback, disclaimers, limitation of liability, dispute resolution, indemnity, legal compliance, and any accrued rights or obligations.

17. Third-Party Services

Mutle relies on third-party services such as authentication, hosting, storage, email delivery, contact providers, enrichment providers, AI providers, payment processors, and developer tools. Your use of third- party surfaces or linked services may also be governed by those providers' own terms and policies.

We are not responsible for third-party products, uptime, pricing, policy changes, data practices, or losses resulting from third-party failures, outages, reversals, or access restrictions.

18. Disclaimers

MUTLE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, ACCURACY, OR QUIET ENJOYMENT.

We do not guarantee that the service will be uninterrupted, secure, error-free, or always available; that any introduction will be accepted or useful; that any user is truthful or suitable; that any graph score, trust signal, search result, recommendation, watch, or AI output is complete or correct; or that any payment, payout, or processor action will occur on any specific timeline.

19. Limitation of Liability

To the maximum extent permitted by law, BuzzChat Inc. and its affiliates, officers, directors, employees, contractors, licensors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for loss of profits, revenues, data, goodwill, business opportunities, or anticipated savings, arising out of or related to the service or these Terms.

Our aggregate liability for all claims relating to the service or these Terms will not exceed the greater of (a) $100 USD or (b) the amount you paid us in the 12 months before the claim arose.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

20. Indemnity

You agree to defend, indemnify, and hold harmless BuzzChat Inc. and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the service; (b) your User Content; (c) your contacts, imports, invites, payouts, or developer application; (d) your breach of these Terms; or (e) your violation of any law or third-party right.

21. Dispute Resolution and Arbitration

Please contact us first at legal@mutle.so to try to resolve a dispute informally.

If a dispute cannot be resolved informally, then except for small claims, intellectual property matters, or requests for injunctive relief, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules.

You and BuzzChat waive any right to a jury trial and any right to bring or participate in a class action, collective action, mass action, or representative proceeding, to the fullest extent permitted by law. Arbitration will proceed only on an individual basis.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict of laws rules. If arbitration does not apply, you and BuzzChat submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable consumer law provides otherwise.

23. Changes to the Service and These Terms

We may update the service and these Terms from time to time. If we make material changes, we will provide notice by reasonable means such as the app, email, the website, or an update to the "Last updated" date. If you continue using Mutle after the effective date of revised Terms, you agree to the updated Terms.

24. General Terms

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, are the entire agreement between you and BuzzChat regarding Mutle.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, internal reorganization, or sale of assets.
